General Terms and Conditions (GT&C) for Online Purchases of books1. Scope of Application1.1 These General Terms and Conditions (hereinafter referred to as
“GT&C”) apply to all declarations of intent, contracts, and legal or similar transactions entered into by
Dentoki Publishing S.L., a company incorporated under Spanish law (hereinafter referred to as
“the Publisher”), with its customers (hereinafter referred to as
“the Customer”) in connection with the purchase of physical books.
1.2 Any terms and conditions of the Customer that differ from or supplement these GT&C shall not apply unless expressly accepted in writing by the Publisher. Any reference by the Customer to their own terms and conditions is hereby expressly rejected.
2. Subject Matter of the Contract2.1 The Publisher offers
printed physical books for sale through its online shop.
2.2 No digital content, eBooks, apps, newspapers, magazines, or subscriptions are offered or sold.
3. Conclusion of Contract and Contract Text3.1 The presentation of books in the online shop does not constitute a legally binding offer. A binding offer is made by the Customer when clicking the button
“Order” at the end of the order process.
3.2 The Publisher may accept or reject the offer within
14 business days. Acceptance occurs through explicit order confirmation or by dispatch of the ordered books.
3.3 Contracts may be concluded in
Spanish and/or English.
4. Delivery of Goods and Delivery Time4.1 The Publisher delivers the ordered books to the delivery address specified by the Customer.
4.2
Books in Stock (Published Titles)Unless otherwise stated on the product page, books that are already published and available in stock shall be delivered within
14 calendar days from receipt of the order.
4.3
Pre-Sale Books (Not Yet Published)Certain books may be offered for sale
prior to their official publication date (“pre-sale” or “pre-order”). These offers are clearly identified as such in the online shop and may be subject to special pricing.
Delivery of pre-sale books shall take place
after publication and may take up to
three (3) months from the date of order. The estimated publication or delivery timeframe is indicated on the product page where available.
4.4 If delivery of a pre-sale book is delayed beyond the stated period, the Customer shall be entitled to withdraw from the contract in accordance with statutory provisions.
4.5 Partial deliveries initiated by the Publisher do not incur additional shipping costs. Partial deliveries requested by the Customer may incur additional shipping charges.
4.6 Delivery periods shall be extended accordingly in cases of force majeure or circumstances beyond the Publisher’s reasonable control.
5. Prices, Shipping Costs, Payment Conditions, Retention of Title5.1 All prices include applicable
VAT for deliveries within the European Union. For deliveries outside the EU, VAT is not included.
5.2 Shipping costs are not included in the book prices unless explicitly stated. Applicable shipping costs are calculated during the order process and shown separately before the order is placed.
5.3 Any customs duties, import taxes, or additional fees incurred for deliveries outside the EU shall be borne by the Customer.
5.4 Payment is due immediately upon placing the order unless otherwise agreed. The Publisher reserves the right to offer or exclude specific payment methods.
5.5 In the event of late payment, statutory default interest under Spanish law shall apply. The Publisher reserves the right to suspend delivery until full payment has been received.
5.6 The delivered books remain the property of the Publisher until full payment has been made.
6. Right of Withdrawal (Consumers Only)RIGHT OF WITHDRAWALIf the Customer is a
consumer within the meaning of Spanish consumer protection law, they have the right to withdraw from this contract within
14 calendar days without giving any reason.
The withdrawal period begins on the day on which the Customer or a third party designated by the Customer takes possession of the goods.
To exercise the right of withdrawal, the Customer must notify the Publisher of their decision by means of a clear statement (e.g. by letter or email).
CONSEQUENCES OF WITHDRAWALIf the Customer withdraws from the contract, the Publisher shall reimburse all payments received, including standard delivery costs (excluding additional costs resulting from the Customer choosing a delivery method other than the least expensive standard delivery), within
14 days from receipt of the withdrawal notice.
The Customer shall bear the direct cost of returning the goods.
The Publisher may withhold reimbursement until the goods have been returned or proof of return has been provided.
The Customer is only liable for any diminished value of the books resulting from handling beyond what is necessary to establish their nature, characteristics, and functioning.
7. Warranty7.1 Statutory warranty rights under
Spanish law apply.
7.2 The Customer must notify the Publisher of any defects within a reasonable period after discovery.
7.3 Warranty claims do not apply to damage caused by improper handling, normal wear and tear, or external influences not attributable to the Publisher.
8. Liability8.1 The Publisher shall be liable only for damages caused by intent or gross negligence, subject to mandatory statutory provisions.
8.2 Liability for indirect damages, loss of profit, or consequential damages is excluded to the extent permitted by law.
8.3 This limitation does not apply to damages resulting from injury to life, body, or health, or where liability is mandatory under applicable law.
9. User Accounts9.1 Registration is not required to place an order. Customers may optionally create a user account to facilitate future purchases.
9.2 Customers are responsible for keeping their login data confidential.
9.3 The Publisher reserves the right to suspend or terminate user accounts in the event of misuse.
10. Data ProtectionPersonal data is processed in accordance with the
General Data Protection Regulation (GDPR) and applicable Spanish data protection laws. Further information is available in the
Publisher’s Privacy Policy.
11. NewsletterThe Publisher may offer a newsletter. Customers receive it only if they have expressly consented and may unsubscribe at any time.
12. Final Provisions12.1 These GT&C are governed exclusively by the laws of the
Kingdom of Spain, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
12.2 If the Customer is a merchant or legal entity, the exclusive place of jurisdiction shall be
Madrid, Spain.
12.3 Should any provision of these GT&C be or become invalid, the remaining provisions shall remain unaffected.
